Spring 2027 · ILO L234 · Tufts University · 3 credits · Undergraduate

This course will introduce students to the basic legal principles (corporate law, contract law and relevant regulatory frameworks); broad mechanics (the structuring, negotiation, and implementation); and current political risks surrounding regulation of cross-border merger and acquisition (“M&A”) transactions. Students are invited to apply the legal basics, the operational mechanics and apprehension of the politics of M&A to analysis of the state of the global financial system and more broadly the global economy. In particular, the rise of private equity; exponential speed of growth of particular industries such as the artificial intelligence; and potential trends in acquisition activity given rising geopolitical tensions. Topics will be reviewed from the standpoint of domestic law of the United States, England & Wales, the EU and other selected jurisdictions, as well as from the standpoint of applicable international law. Case studies will be drawn from recent transactions in the United States, the EU and Asia. Learning outcomes/objectives: - Appreciation of different mergers and acquisitions transactions and structures in an international context. - For various transactions, understanding of key legal considerations and transaction documents and their provisions. - Analysis of transaction risk in particular how international regulatory, legal, and fiscal considerations affect transactions. There are no prerequisites, and you do not need any prior familiarity with private international law or international business. Basic principles in both areas will be elaborated by the instructor as necessary. You will be exposed to a variety of readings in law, including law review articles, statutory and regulatory provisions and court decisions, as well as commentaries and press releases regarding recent transactions.
